Terms and Conditions for the M3 EU Careers Jobs Board

Introduction

These terms and conditions (Careers Terms) are for the Careers jobs board website (Careers).

There are two types of users of Careers:

Advertisers: users providing content relating to jobs to be published via Careers (and Parts One and Three of the Careers Terms will apply to Advertisers); and

Candidates: users searching for or receiving content relating to jobs via Careers (and Parts Two and Three of the Careers Terms will apply to Candidates).

Careers is operated by M3 (EU) Limited (us, we or our), a company registered in England under number 3527430. Our registered office is at One Valentine Place, London SE1 8QH.

M3 (EU) Limited is registered for VAT under number 685853774.

Careers is a separate website to the Doctors.net.uk site, which is also run by us. The Doctors.net.uk terms and conditions (DNUK Terms) apply to your use of Careers in addition to the Careers Terms. The DNUK Terms are available at https://www.doctors.net.uk/ter.... In the event of any conflict or inconsistency between the Career Terms and the DNUK Terms, the Career Terms shall prevail. References to the Careers Terms in this document include the DNUK Terms.

By using Careers in any way, you accept the Careers Terms and the DNUK Terms in full; accordingly, if you disagree with any part of Careers Terms or the DNUK Terms, you should not use Careers.

Part One: Advertisers

1. Registration as an Advertiser on Careers

You may register as an Advertiser user on Careers by completing and submitting the registration pages on Careers.

2. Use on behalf of an organisation

If you use Careers or expressly agree to Careers Terms in the course of a business, then by so doing you bind both yourself and the person, company or other legal entity that operates that business to the Careers Terms; in these circumstances references to "you" in the applicable parts of the Careers Terms are to both the individual Advertiser user and the relevant person, company or legal entity.

3. Careers functionality for Advertisers

3.1 Registered Advertiser users will have access to such features on Careers as we may from time to time determine, which may include:

ability to complete a job description and to publish that job description to Candidate users of Careers; and
ability to communicate to particular Candidates registered on Careers who have expressed an interest in the job description published.

3.2 We will use information and materials supplied by Advertiser to provide Careers. That use will include, amongst other things, processing and storing information and materials and passing or making available online such information and materials to prospective Candidates.

4. Content

4.1 Advertisers shall supply content (Job Content) in accordance with any requirements of Careers. The text of the Job Content and any logo or additional image (if required) must be supplied in accordance with our instructions.

4.2 Each advertisement (Job Advert) may only contain one job description. Job Adverts for unpaid or expenses-only internships are not allowed on Careers. Each Job Advert must be a genuine paid vacancy at the time of posting (and you shall promptly withdraw any Job Advert where the vacancy is no longer available). Job Adverts cannot be used for any form of advertising, promotion or marketing other than the genuine vacancy.

4.3 Advertisers are solely responsible for Job Content supplied, including where some or all of the information has been provided to the Advertiser by a third party. Advertisers are also solely responsible for ensuring that all information provided within the Job Content, as well as any information provided via links or references to external materials, is true, accurate, up to date and not misleading, discriminatory, obscene, offensive, defamatory or otherwise illegal, unlawful or in breach of any applicable legislation, regulations, guidelines or codes of practice or the intellectual property rights or privacy rights of any person in any jurisdiction. Job Adverts in the United Kingdom shall also expressly state if they are inside or outside of IR35.

4.4 We reserve the right to refuse to publish any Job Advert or Job Content at our sole discretion.

4.5 We may, upon request from Advertiser and at our discretion, make minor changes to the Job Advert once live on Careers. Any such minor changes will be made within a reasonable timeframe. We reserve the right to refuse any changes which are not deemed as reasonable and/or which would have been rejected in accordance with the Careers Terms had they been included in the Job Advert when first submitted to Careers.

4.6 We reserve the right to remove any Job Advert or Job Content at our sole discretion at any time.

5. Orders and Fees

5.1 The fees in respect of Careers services will be as set out on the website from time to time.

5.2 All fee amounts stated on Careers are stated both exclusive and inclusive of VAT and all are payable online or by invoice in advance of any Job Advert being posted.

5.3 Each time you place an order to post a Job Advert on Careers you make an offer to us. No contract between you and us for us to provide services for that Job Advert exists until we accept that offer, which will only occur when we have received payment from you. Each time you place an order with us a separate contract is established which incorporates these Careers Terms.

5.4 We do not guarantee that Job Adverts advertised on Careers will be viewed or responded to or that the vacancy will be filled as a result of any advertisement or campaign. We do not offer any refunds or discounts for lack of views, responses or lack of success of the advertisement or campaign.

5.5 If you decide to pull your Job Advert early or if we decide not to post your Job Advert pursuant to clause 4.4 above, you will not receive a refund and no credit will be issued. No refunds will be made or credit issued in the event we decline to make requested changes to your Job Advert pursuant to clause 4.5 above or remove your Job Advert or Job Content pursuant to clause 4.6 above.

5.6 We may vary fees from time to time by posting new fees on Careers, and the fee that will apply to you will be the fee posted on Careers on the date you place your order for an Advert.

5.7 If you owe us any amount under or relating to Careers Terms, we may suspend or withdraw the provision of services to you.

5.8 We may at any time set off any amount that you owe to us against any amount that we owe to you, by sending you written notice of the set-off.

6. Cancellation and suspension of registration

6.1 We may suspend and/or cancel your Advertiser user registration at any time in our sole discretion without notice or explanation, providing that if we do not provide any services you have paid for (for example we cut short the period of time you have paid for a Job Advert to be published on Careers), and you have not breached these Careers Terms (for example, by including content in the Job Advert in breach of applicable law or codes), we will refund to you a pro rata amount of your payment, such amount to be calculated by us using any reasonable methodology.

6.2 You may cancel your Advertiser registration on Careers at any time by notifying us in writing (you will not be entitled to any refund or compensation).

7. Limited warranties

7.1 We do not warrant or represent:

the completeness or accuracy of the information published on Careers, including that supplied by Candidates or other third parties;
that the material on Careers is up to date; or
that Careers will remain available.

7.2 We reserve the right to discontinue or alter any or all of Careers services, and to stop publishing Careers, at any time in our sole discretion without notice or explanation; and save to the extent expressly provided otherwise in Careers Terms, you will not be entitled to any compensation or other payment upon the discontinuance or alteration of any website services, or if we stop publishing the website.

7.3 To the maximum extent permitted by applicable law and subject to clause 8.2, we make no representations or warranties relating to the subject matter of Careers Terms, Careers and the use of Careers.

8 Limitations and exclusions of liability

8.1 You acknowledge that we cannot be held responsible for the behaviour of users, either on or off Careers, and we cannot guarantee that any information provided by a user is true, accurate, complete, current and not misleading; and subject to clause8.2 you will not hold us liable in respect of any loss or damage arising out of any user behaviour or user information.

8.2 Nothing in Careers Terms will limit or exclude any liability:

for death or personal injury resulting from negligence;
for fraud or fraudulent misrepresentation; or
in any way that is not permitted under applicable law.

8.3 The limitations and exclusions of liability set out in this clause 8 and elsewhere in Careers Terms are subject to clause 8.2 and govern all liabilities arising under Careers Terms or relating to the subject matter of Careers Terms, including liabilities arising in contract, in tort (including negligence) and for breach of statutory duty, except to the extent expressly provided otherwise in Careers Terms.

8.4 To the extent that Careers and the information and services on Careers are provided free of charge, we will not be liable for any loss or damage of any nature.

8.5 Our aggregate liability to you in respect of each individual paid-for contract to provide services to you under Careers Terms shall not exceed the greater of £10 and the total amount paid and payable to us under each individual contract for a Job Advert.

8.6 We will not be liable to you in respect of any losses arising out of any event or events beyond our reasonable control.

8.7 We will not be liable to you in respect of any business losses, including (without limitation) loss of or damage to profits, income, revenue, use, production, anticipated savings, business, contracts, commercial opportunities or goodwill.

8.8 We will not be liable to you in respect of any loss or corruption of any data, database or software.

8.9 We will not be liable to you in respect of any special, indirect or consequential loss or damage.

9. Breaches of Careers Terms

9.1 Without prejudice to our other rights under Careers Terms, if you breach Careers Terms in any way, or if we reasonably suspect that you have breached Careers Terms in any way, we may:

temporarily suspend your access to Careers;
permanently prohibit you from accessing Careers;
block computers using your IP address from accessing Careers;
commence legal action against you, whether for breach of contract or otherwise; and/or
suspend or delete your registration on Careers.

9.2 Where we suspend or prohibit or block your access to Careers or a part of Careers, you must not take any action to circumvent such suspension or prohibition or blocking (including without limitation creating and/or using a different registration).

10 Indemnity

You hereby indemnify us, and undertake to keep us indemnified, against any and all losses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amounts paid by us to a third party in settlement of a claim or dispute) incurred or suffered by us and arising directly or indirectly out of your use of Careers or any breach by you of any provision of Careers Terms.

Part Two: Candidates

11. Registration as a Candidate on Careers

You may register as a Candidate user on Careers by completing and submitting the registration pages on Careers. (If you are a Doctors.net.uk user, it is possible to use your Doctors.net.uk user credentials to speed up the registration process on Careers.)

12. Personal profiles on Careers

12.1 All information that you supply as part of a personal profile on Careers must be true, accurate, current, complete and non-misleading.

12.2 You should keep your personal profile on Careers up to date, so that we can provide our service to you and also so that we can comply with our legal obligations to keep your personal data up to date.

13. Careers functionality for Candidates

13.1 Registered Candidate users will have access to such features on Careers as we may from time to time determine, which may include:

facilities to complete a detailed personal profile to enable you to find jobs posted by Advertisers; and
the facility to express an interest in a job posted by an Advertiser and communicate with the Advertiser or M3 EU Careers.

13.2 We will use the information and materials supplied by Candidate to provide Careers. That use will include, amongst other things, processing and storing information and materials and passing or making available online such information to Advertisers.

14. Cancellation and suspension of registration

14.1 Careers is provided to you free of charge. We may suspend and/or cancel your Candidate user registration at any time in our sole discretion without notice or explanation.

14.2 You may cancel your Candidate user registration on Careers at any time by notifying us (you will not be entitled to any compensation).

15. Limited warranties

15.1 We do not warrant or represent:

the completeness or accuracy of the information published on Careers, including that supplied by Advertisers or other third parties;
that the material on Careers is up to date; or
that Careers will remain available.

15.2 We reserve the right to discontinue or alter any or all of Careers services, and to stop publishing Careers, at any time in our sole discretion without notice or explanation; and save to the extent expressly provided otherwise in Careers Terms, you will not be entitled to any compensation or other payment upon the discontinuance or alteration of any website services, or if we stop publishing the website.

15.3 To the maximum extent permitted by applicable law and subject to clause 16.3, we make no representations or warranties relating to the subject matter of Careers Terms, Careers and the use of Careers.

16. Limitations and exclusions of liability

16.1 If you are a consumer nothing in these Careers Terms shall limit your statutory rights.

16.2 You acknowledge that we cannot be held responsible for the behaviour of users, either on or off Careers, and we cannot guarantee that any information provided by a user is true, accurate, complete, current and not misleading; and subject to clause 16.3 you will not hold us liable in respect of any loss or damage arising out of any user behaviour or user information.

16.3 Nothing in Careers Terms will limit or exclude any liability:

for death or personal injury resulting from negligence;
for fraud or fraudulent misrepresentation; or
in any way that is not permitted under applicable law.

16.4 The limitations and exclusions of liability set out in this clause 16 and elsewhere in Careers Terms are subject to clause 16.3 govern all liabilities arising under Careers Terms or relating to the subject matter of Careers Terms, including liabilities arising in contract, in tort (including negligence) and for breach of statutory duty, except to the extent expressly provided otherwise in Careers Terms.

16.5 We provide our service to you free of charge. Therefore, subject to clause 16.3, our aggregate liability to you in respect of any contract to provide services to you under Careers Terms shall be limited to the re-provision of that part of the service to you which we may have failed to provide.

16.6 We will not be liable to you in respect of any losses arising out of any event or events beyond our reasonable control.

16.7 We will not be liable to you in respect of any business losses, including (without limitation) loss of or damage to profits, income, revenue, use, production, anticipated savings, business, contracts, commercial opportunities or goodwill.

16.8 We will not be liable to you in respect of any loss or corruption of any data, database or software.

16.9 We will not be liable to you in respect of any special, indirect or consequential loss or damage.

17 Breaches of Careers Terms

17.1 Without prejudice to our other rights under Careers Terms, if you breach Careers Terms in any way, or if we reasonably suspect that you have breached Careers Terms in any way, we may:

temporarily suspend your access to Careers;
permanently prohibit you from accessing Careers;
block computers using your IP address from accessing Careers;
commence legal action against you, whether for breach of contract or otherwise; and/or
suspend or delete your registration on Careers.

17.2 Where we suspend or prohibit or block your access to Careers or a part of Careers, you must not take any action to circumvent such suspension or prohibition or blocking (including without limitation creating and/or using a different registration).

Part Three: Advertisers and Candidates

18. Availability of Careers

18.1 We aim to make Careers available at all times, subject to maintenance and events beyond our reasonable control. We will endeavour to correct any disruption to the website at the earliest convenience. Subject to Part One and Part Two above (as applicable) we accept no responsibility for any losses or delay arising from disruption to the website, irrespective of the cause of that disruption.

19. Third party websites

19.1 Careers includes hyperlinks to other websites owned and operated by third parties; such hyperlinks are not recommendations.

19.2 We have no control over third party websites and their contents, and subject to Part One and Part Two above (as applicable) we accept no responsibility for them or for any loss or damage that may arise from your use of them.

20. General

20.1 The Careers jobs board service is just part of what we do and does not include any employment agency or employment business services.

20.2 Careers is a separate website to the Doctors.net.uk site, which is also run by us. The DNUK Terms apply to your use of Careers in addition to the Careers Terms. 20.3 Any terms purporting to vary these Careers Terms in any order, or other written or electronic communication from you, are ineffective unless specifically accepted by Careers in writing.

20.4 You may not assign or transfer your user registration with Careers with any other person.

20.5 We may assign or sub-contract our rights or obligations (or both) to any third party.

20.6 If any part of any of Careers Terms is invalid or unenforceable, it will not affect any other provision and all other provisions will remain in full force and effect.

20.7 Careers Terms, and the contract between you and us, are governed by the laws of England and Wales and you agree to submit to the jurisdiction of the courts of England and Wales.

20.8 Careers Terms are the complete and exclusive statement of the agreement between you and us in relation to the use of Careers, its contents and any Careers service. They supersede any proposal or prior agreement, oral or written, and any other communications between us and you relating to their subject matter except for a variation in these Career Terms specifically accepted in writing by us pursuant to clause 20.3 above.

20.9 Nothing in Careers Terms confers or purports to confer on anyone except you any right under the Contracts Rights of Third Parties Act 1999 or in any other way to enforce any of the Careers Terms.
